Terms of Service
Effective date: April 1, 2026.
These Terms of Service govern access to and use of the websites, applications, software products, APIs, and related services made available by Amcle IT Solutions Inc.
Acceptance and Authority
By accessing or using the services, you agree to be bound by these Terms of Service. If you access or use the services on behalf of a corporation, partnership, or other organization, you represent and warrant that you have authority to bind that organization, and references to "you" include that organization.
The services are intended for business and professional use. You may not use the services if doing so would violate applicable law or if you are not legally capable of entering into a binding agreement.
Accounts and Acceptable Use
You are responsible for maintaining accurate account information, safeguarding credentials, and all activities occurring under your account. You must promptly notify us of any unauthorized access to your account or any suspected security incident involving the services.
You may not use the services to violate law, infringe intellectual property or privacy rights, interfere with the operation or security of the services, distribute malicious code, attempt unauthorized access, reverse engineer the services except where such restriction is prohibited by law, or use the services to build or train a competing product through prohibited automated extraction or misuse.
Subscriptions, Fees, and Payment
Certain services may be provided on a paid subscription or usage basis. If you purchase paid services, you agree to pay all fees, charges, and applicable taxes identified in the applicable order, subscription plan, invoice, or checkout flow. Unless otherwise stated, fees are quoted and payable in Canadian dollars and are non-refundable except as required by law or as expressly agreed by Amcle in writing.
We may suspend or limit access to paid services for overdue amounts. We may change pricing for future renewal terms or future purchases by providing notice through the services, by email, or through an updated order or plan page.
Customer Data and Privacy
As between the parties, you retain all rights in the data, prompts, files, records, and other materials you submit to the services or direct us to process on your behalf. You grant Amcle a limited, non-exclusive right to host, copy, transmit, display, and process that data solely as reasonably necessary to provide, support, secure, and improve the services and to comply with applicable law.
You are responsible for ensuring that you have all rights, permissions, and notices necessary for the data you submit through the services, including any personal information about your employees, customers, candidates, or other third parties. Our collection and use of personal information is described in our Privacy Policy.
Intellectual Property and Feedback
The services, including their software, design, interfaces, documentation, branding, and related content, are owned by or licensed to Amcle IT Solutions Inc and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the services for your internal business purposes during the applicable subscription or permitted access period.
If you provide suggestions, comments, feedback, or improvement ideas relating to the services, you grant Amcle a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation.
Availability, Changes, and Confidentiality
We may update, modify, suspend, or discontinue any part of the services from time to time, including to improve functionality, address security concerns, comply with legal requirements, or reflect changes in our business. We will use reasonable efforts to avoid materially degrading the core paid services without notice, but we do not guarantee uninterrupted availability.
If you receive non-public information about Amcle's products, roadmap, security practices, or business that is identified as confidential or that a reasonable business person would understand to be confidential, you must use that information only for purposes of your relationship with Amcle and protect it from unauthorized disclosure. We will use reasonable safeguards to protect customer confidential information made available to us in connection with the services.
Disclaimers
To the fullest extent permitted by applicable law, the services are provided on an "as is" and "as available" basis. Amcle disclaims all representations, warranties, and conditions, whether express, implied, statutory, or collateral, including any implied warranties or conditions of merchantable quality, fitness for a particular purpose, title, non-infringement, and any warranty that the services will be uninterrupted, error-free, secure, or suitable for your particular use case.
You acknowledge that software and AI-enabled services may produce incomplete, inaccurate, or unexpected results and require human review and judgment. You remain responsible for evaluating outputs and for decisions or actions taken in reliance on the services.
Limitation of Liability
To the fullest extent permitted by applicable law, Amcle IT Solutions Inc and its directors, officers, employees, contractors, licensors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data, or anticipated savings, arising out of or relating to the services or these Terms of Service, even if advised of the possibility of such damages.
To the fullest extent permitted by applicable law, the aggregate liability of Amcle IT Solutions Inc arising out of or relating to the services or these Terms of Service will not exceed the greater of the amounts paid by you to Amcle for the services giving rise to the claim during the twelve months preceding the event giving rise to the claim and CAD $100.00. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to the extent prohibited by law.
Termination
You may stop using the services at any time, subject to any applicable subscription commitments. We may suspend or terminate your access immediately if we reasonably believe you have breached these Terms of Service, if your use poses a security, legal, or operational risk, if payment is overdue, or if we are required to do so by law.
Upon termination, your right to access and use the services will cease, but any provisions that by their nature should survive termination will continue in effect, including provisions relating to fees owing, intellectual property, confidentiality, disclaimers, limitations of liability, governing law, and dispute resolution.
Governing Law, Disputes, and Contact
These Terms of Service and any dispute arising out of or relating to the services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You and Amcle agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for the resolution of disputes arising out of or relating to these Terms of Service or the services.
These Terms of Service constitute the entire agreement between you and Amcle with respect to the subject matter addressed here, unless supplemented by an order form or other written agreement signed by both parties. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Questions about these Terms of Service may be directed to info@amcle.ca.
